The registration of managing subjects and the resident companies of the FEZ "Grodnoinvest" are made in accordance with:

  • The Position about the state registration of managing subjects, stipulated by the Decree of the President of the Republic of Belarus of January 16, 2009 Nr. 1 "About the state registration and liquidation (termination of activities) of managing subjects";
  • The Stipulation of the Council of Ministers of the Republic of Belarus of 17 June 2002 Nr. 789 "About the confirmation of positions on the free economic zone "Grodnoinvest" and its administration" (as revised by the ordinance of the Council of Ministers of the Republic of Belarus of August 12, 2005 Nr. 890).

The resident of the FEZ "Grodnoinvest" is given the certificate of the registration

On the basis of the abovementioned legislative acts, the registered company is given the special legal regime that provides tax and customs preferences

Registration as the managing subject:

 
Documents needed for the state registration of newly created legal entities with foreign investments:

1. Application form for the state registration (application form).
2. The charter (or the foundation agreement - for commercial organizations, acting on the basis of the foundation agreement) - 2 copies not notarized, one soft copy (.doc or .rtf).
3. Founders - foreign legal entities (organizations) - provide a legalized abstract from the trade register of the country of origin or any other equivalent proof of a legal status of a foreign investor in accordance with the legislation of the country of his location or permanent residence at the creation of a commercial organization with foreign investments (legalization is to be conducted within a year after handing in an application on registration) with a Belarusian (Russian) translation (a translator's signature is to be notarized).
4. Founders - foreign physical persons - provide a copy of an identity paper with a Belarusian (Russian) translation (a translator's signature is to be notarized).
5. A document verifying payment of state duty (original or a copy). (Payment details).
 

Before submission of the above-mentioned documents to the administration of FEZ "Grodnoinvest" the property owner, the founders of the created commercial or non-commercial organizations have to:

  • Coordinate with the registering body the name of the commercial, non-commercial organization;
  • Specify the location area of the commercial, non-commercial organization;
  • Make a decision about the creation of the commercial, non-commercial organization, prepare the charter of the organization (or the foundation agreement - for commercial organizations, acting on the basis of the foundation agreement);
  • Form a statutory fund (for commercial organizations); open a temporary account in a bank (non-bank financial institution) in case of monetary contribution to the statutory fund; pursue the valuation of in-kind contributions in case of in-kind contribution to the statutory fund.

The requirements for the volume and the creation time of the statutory fund are established by the Investment code of the Republic of Belarus (for commercial organizations with foreign investments).

For reference: The amount of foreign investments in the statutory fund of a commercial organization with foreign investments must be not less than 20 000 USD in equivalent. The declared statutory fund has to be formed by 50 % or more within a year after the state registration of the company by means of the contribution of every founder not less than 50 % of their participatory share. The full statutory fund must be formed within 2 years after the day of the state registration.
 
Documents needed for the state registration of amendments introduced into the charter of commercial and non-commercial organizations
(or the foundation agreement - for commercial organizations, acting on the basis of the foundation agreement):
1. Application form for the state registration (application form).
2. Amendments (2 exemplars) that are processed as attachments to the charter (or the foundation agreement - for commercial organizations, acting on the basis of the foundation agreement), not notarized, and their soft copy (.doc or .rtf). Optionally, the charter (or the foundation agreement) can be submitted completely renew.
3. Original of a state registration certificate in case of a company's name change or its reorganization.
4. A document verifying payment of the state duty (original or a copy). (Payment details).

 

Registration as a FEZ resident

Any legal body or individual entrepreneur of the Republic of Belarus with the legal address in the free economic zone "Grodnoinvest" may be registered as FEZ residents.

Documents for the registration of a resident:

   To register as a FEZ resident a legal body or an individual entrepreneur (hereinafter referred to as an applicant) has to present the following documents:

1. Application form specifically approved by the administration of FEZ "Grodnoinvest";
2. Сopy of the constituent documents (organization charter, founders agreement)
3. Copy of the State Registration Certificate;
4. Business-plan of the investment project made up according to the form specifically approved by the administration of FEZ "Grodnoinvest". Business-plan of a legal body, whose shares are transferred in trust to public
authorities or any other state organization under the Government of the Republic of Belarus, must be approved by these authorities or organization;
5. Receipt confirming the payment of State duty for the registration in FEZ at the rate stipulated by legislative acts (payment details).

   The administration of FEZ "Grodnoinvest" considers the presented documents for compliance with the law.

   The documents must correspond to the following criteria:

  • investments volume is to be not less than 1 million euro;
  • new production is to be export-oriented and (or) import-substituting.
Order of consideration of the documents presented and of stipulation of FEZ"Grodnoinvest" operational climate agreement

      The administration of FEZ "Grodnoinvest" considers the applicant's documents in the course of 14 working days after the date of the documents presentation and takes a decision to stipulate/not stipulate FEZ "Grodnoinvest"
operational climate agreement with the applicant and to register/not register the applicant as a FEZ resident.

     In a 3-days period after the date of the decision making applicant receives a copy of this decision and a FEZ "Grodnoinvest" operational climate draft agreement.

     The form of the agreement is approved by the administration of FEZ "Grodnoinvest".

     The FEZ "Grodnoinvest" agreement must be stipulated in the course of 5 days after the moment of receipt of the copy of the administration's decision by the applicant and not later than 1 month after the date of the decision making.

     The given agreement shall last for a project implementation period.
The applicant is considered to be registered as a FEZ "Grodnoinvest" resident after the date of the agreement's stipulation and for the term of the agreement.

     The Resident Registration Certificate is given to the resident within 3 days after the date of agreement's stipulation.

     In case of the agreement stipulation failure within a month after the date of the decision making, the administration's decision becomes inoperative.

     In case of the agreement stipulation failure State duty for the registration in FEZ is not reimbursed.

The grounds for decision to refuse a registration as a FEZ resident
The grounds for decision to refuse a registration as a FEZ resident are:
  • failure to present all the documents necessary for the registration as a FEZ "Grodnoinvest" resident;
  • non-conformity of the submitted documents to the conditions mentioned in part 4 of the present item and in other legislative acts;
  • shortage of industrial areas and (or) land plots of the necessary size meeting the requirements of the production type declared in the submitted documents;
  • loss in the competition (see the conditions of the holding of the competition);
  • any other reason provided by the legislative acts concerning the activity of the free economic zones.

      The copy of the decision including the reasons for the refusal is to be sent to the applicant not later than the next day after the day of the decision making.

      In case of taking the decision to refuse a registration the state duty paid for the registration is returned to the applicant in accordance with the procedures established by the law.

     The decision to refuse a registration as a FEZ resident taken by the administration of FEZ "Grodnoinvest" may be challenged in court in accordance with the established procedure.

Conditions and order of holding of competitions

      In case of another applicant's appeal to the administration of FEZ "Grodnoinvest" with a similar investment project or an investment project planned for implementation on the same land plot (not yet occupied), there is to be taken a decision on holding of a competition which is to be announced in mass media in the course of 14 days after the date of this applicant's appeal.

     Within 3 working days after the date of another applicant's appeal the administration of FEZ "Grodnoinvest" is to inform the first applicant on the renewal of the terms of the consideration of his enterprise's registration as a FEZ "Grodnoinvest" resident.

     The competition's subject, conditions and order of holding is determined by the administration of FEZ "Grodnoinvest" in coordination with Grodno Executive Committee.A FEZ "Grodnoinvest" agreement is stipulated with the applicant who won the competition within 5 working days after the announcement of the competition's results.
